The third amendment to the BUMN Law marks a new paradigm in BUMN management, adopting the Business Judgment Rule (BJR) doctrine. The material of the amendment is that BUMN directors cannot be held legally responsible for losses that occur if it is proven that the loss was not caused by error or negligence, decisions were taken in good faith and caution, there was no conflict of interest, and preventive measures were taken to prevent or stop losses. This BJR changes the pattern of directors accountability, BUMN losses are no longer considered state financial losses so that they are not included in the realm of corruption based on the Corruption Law, this study uses a normative legal method through a doctrinal and conceptual approach, and uses secondary data. The analysis used uses the deductive method. With the amendment to the Law, it provides guidance for directors to be more careful in carrying out BUMN business processes. Providing certainty to corporate directors professionally without being overshadowed by fear of criminalization.

Conclusion

The Business Judgment Rule principle serves as an important bridge between managements courage in taking business risks and the legal accountability requirements inherent in the position of director.Amendments to the State-Owned Enterprises Law should aim at ensuring reasonable legal protection for business decision-makers, particularly directors and management, so that they can perform their corporate functions professionally without fear of criminalization.With strong legal guarantees, SOE management will be encouraged to be more innovative, responsive to change, and focused on achieving corporate goals without being hindered by fear of disproportionate legal sanctions.

Future Research

Berdasarkan analisis terhadap latar belakang, metode, hasil, dan keterbatasan penelitian ini, terdapat beberapa saran penelitian lanjutan yang dapat dipertimbangkan. Pertama, penelitian lebih lanjut perlu dilakukan untuk mengkaji implementasi BJR dalam praktik di BUMN, termasuk bagaimana direksi BUMN menginterpretasikan dan menerapkan prinsip ini dalam pengambilan keputusan sehari-hari. Kedua, penelitian dapat difokuskan pada perbandingan efektivitas BJR di BUMN dengan mekanisme perlindungan hukum bagi direksi perusahaan swasta, untuk mengidentifikasi perbedaan dan persamaan yang signifikan. Ketiga, penelitian lanjutan dapat mengeksplorasi dampak penerapan BJR terhadap kinerja keuangan dan tata kelola perusahaan BUMN, serta bagaimana hal ini berkontribusi pada peningkatan efisiensi dan akuntabilitas. Penelitian-penelitian ini diharapkan dapat memberikan pemahaman yang lebih komprehensif tentang peran BJR dalam mendorong profesionalisme dan keberlanjutan BUMN di Indonesia, serta memberikan rekomendasi kebijakan yang lebih tepat sasaran untuk meningkatkan iklim investasi dan tata kelola perusahaan secara keseluruhan. Dengan demikian, BUMN dapat berperan lebih optimal dalam mendukung pembangunan ekonomi nasional dan meningkatkan kesejahteraan masyarakat.
